Introduction
These Terms of Service ("Terms") govern the relationship between the User and the M8 Market platform (https://m8market.com), hereinafter referred to as — the "Platform". These Terms constitute a public offer in accordance with applicable law. Acceptance of the offer is made by the User performing actions to register and use the Platform. By using the Platform, the User agrees to these Terms. The User also agrees to the terms of our Privacy Policy, which describes how we collect, use, and protect your data. If the User does not agree with them, the User must not use the Platform. M8 Market is a B2B platform providing information services for the wholesale trade of green coffee. The User agrees to comply with all rules and guidelines published by the Platform, including these Terms, the Privacy Policy, and other rules for using the Services posted on the Platform.

1. Terms and Definitions

  • M8 Market, Platform — the website m8market.com, providing Users with the Services.
  • User — any adult (legally competent) individual or legal entity that has completed registration and uses the Platform's Services. When placing a product card in the "Coffee for Sale" catalog, the User acts as a Seller. When placing a request in the "Requests for Quotation" catalog, the User acts as a Buyer.
  • Profile — the User's account created during the registration process.
  • Services — the functionality of the Platform, including but not limited to: the "Coffee for Sale" catalog, the "Requests for Quotation" catalog, the built-in mail system for communication.
  • Content — any information posted by the User on the Platform, including but not limited to: texts, photographs, graphic images, data in product cards and requests, messages in the built-in mail system, as well as any other materials.
  • Transaction — the process of negotiations between Users, initiated through the Platform's built-in mail system, with the aim of concluding a green coffee purchase and sale agreement outside the Platform. M8 Market is not a party to the Transaction.

2. User Guarantees
By registering on the Platform, the User guarantees and confirms to the Platform the following:

  • The User is an adult (legally competent) and has the legal capacity to enter into this agreement;
  • All information provided by the User (including, but not limited to, information in product cards and requests) is accurate, complete, and truthful;
  • The User has all necessary rights to the posted Content and its placement does not violate the intellectual property or other rights of third parties;
  • The User undertakes to use the Platform in good faith and exclusively for lawful business purposes related to the wholesale trade of green coffee.
  • If the User acts on behalf of a legal entity or individual entrepreneur, such person assumes joint and several liability for all actions performed through its Profile.
  • The User-Seller guarantees that the product listed conforms to the stated characteristics and has no hidden defects that cannot be detected during a standard visual inspection.

3. Registration and Profile
3.1. User Requirements. Any adult individual may register on the Platform. The Platform does not verify business status (legal entity, individual entrepreneur, individual).
3.2. Registration Process. Registration requires a valid email address. A verification link is sent to the specified email. The account (Profile) is considered active after email confirmation. The Platform reserves the right to refuse registration or suspend it at its discretion without giving reasons.
3.3. Profile Information. The only mandatory and non-public information stored in the Profile is the verified email address. The Platform does not require or store company data, contact phone numbers, or other personal information.
3.4. Profile Use. The User is responsible for all actions performed under their Profile. The User is solely responsible for maintaining the confidentiality of their account data (including the password, if applicable) and for all actions that occur under their account. The Platform does not restrict the use of one Profile by several employees of the same company. If the User acts as an official representative or agent of another person (the principal), they are obliged to clearly indicate this in correspondence with other Users and bear joint and several liability for all actions performed on behalf of the principal.
3.5. Profile Blocking. The Platform reserves the right to block or delete a User's Profile in the following cases:
- Placement of deliberately false information in product cards or requests.
- Signs of fraudulent activity.
- Placement of contact data (email, telephone, links to third-party sites) in product cards or requests.
- Any attempts to establish contact bypassing the Platform's built-in mail system (including, but not limited to, placing contacts on photos, using watermarks, encrypting contact information in the text).
- Use of profanity, offensive behavior.
- Placement of political, propaganda materials, calls for violence, discrimination.
- Attempts to artificially increase activity (fake engagement), create fictitious transactions, unauthorized advertising.
- Creation of multiple accounts by one individual or company without the explicit consent of the Platform.
- Any other actions violating these Terms or applicable law.

4. Content Placement: Product Cards and Requests
4.1. General Principles. The User bears full responsibility for the accuracy, correctness, and legality of all posted Content.
4.2. "Coffee for Sale" Catalog.
- Mandatory fields: Coffee name, botanical species, country of origin, crop year, growing altitude, processing type, screen (bean size), packaging type, SCA score, price FOB per kilogram, product description, etc.
- Photographs: Provision of three clear photographs in 1:1 proportion (square) is mandatory. One of the photographs must clearly show the green coffee beans. Placement of quality certificate photographs is encouraged.
- Editing: The User can edit or delete their cards at any time.
4.3. "Requests for Quotation" Catalog.
- Mandatory fields: Request name, SCA score, number of defects/300g, price FOB per kilogram, description.
- Contact Prohibition: It is strictly forbidden to indicate any contact details in the request text.
- Editing: The User can edit or delete their requests at any time.
4.4. Moderation and Content Removal. Cards and requests are published instantly. The Platform reserves the right to remove or block any User Content at its sole discretion, which, in the opinion of the Platform, violates these Terms, applicable law, or damages the Platform's reputation. The Platform Administration conducts subsequent monitoring of Content.

5. Communication and Transaction Conduct
5.1. Communication Process. To contact a seller or buyer, the User uses the Platform's built-in mail system by clicking the "Contact Seller" button in the product card or "Contact Buyer" in the request card.
5.2. Built-in Mail System. This system is the only recommended and secure method of communication on the Platform, allowing Users to track correspondence history.
5.3. Contact Exchange. Placing contacts in cards and requests is prohibited. However, Users have the right to exchange contact details during correspondence via the built-in mail for further conclusion of a transaction outside the Platform.
5.4. Samples and Negotiations. All issues related to the request, sending, and payment of samples, delivery terms, payment, and contract conclusion are resolved by Users independently during correspondence. All terms related to sampling, payment, and return of samples, including cost allocation, are agreed upon by Users independently during correspondence. Users independently determine the terms of goods acceptance, including inspection timelines and methods, which must be agreed upon prior to shipment. The Platform does not provide functionality for tracking these processes and does not participate in them.
5.5. Good Faith Negotiations. Users undertake to conduct negotiations in good faith. Bad faith behavior includes, but is not limited to:
- Knowingly misleading regarding product characteristics.
- Unjustified refusal to send agreed samples.
- Unlawful refusal to conclude a contract after agreeing on all essential terms.
5.6. Behavior Feedback and Rating.
- Users can send the Platform feedback about the bad faith behavior of other Users (including, but not limited to, the cases specified in clause 5.5.), providing relevant evidence (e.g., correspondence screenshots).
- The Platform does not participate in the resolution of commercial disputes between Users. Received feedback about behavior is used by the Platform solely at its discretion to assess User reliability and may serve as grounds for lowering a User's rating, applying other restrictions to their Profile, as well as for blocking or deleting the account in case of systematic violations.
- Based on received feedback and analysis of User activity, the Platform has the right to assign Users a rating and display it in the public profile. Activity affecting the rating includes any interactions, including message exchange, sample requests, and other activity indicating ongoing negotiations. The Platform reserves the right to calculate and adjust the rating according to its own algorithms.

6. Responsibilities and Limitations. Role of the Platform
6.1. Content Responsibility. The User is solely responsible for the accuracy, legality, and quality of all Content they post.
6.2. Role of the Platform. Important Provision.
M8 Market is solely an information platform. The Platform DOES NOT:
- Take part in (is not a party to) Transactions between Users.
- Guarantees the accuracy of information provided by Users.
- Guarantees product quality or conformity with description.
- Bears responsibility for the fulfillment or non-fulfillment by Users of any obligations undertaken during negotiations or under concluded contracts.
- Provides payment processing, delivery services, or acts as a transaction guarantor.
- Verifies the legal capacity of Users.
6.3. Prohibited Content and Actions. It is prohibited:
- To place contact information in product cards and requests.
- To undertake any actions aimed at establishing direct contact bypassing the Platform's built-in mail system until such contact exchange is approved during correspondence.
- To use the Platform for goods and requests not related to the wholesale trade of green coffee.
- To intentionally place goods or requests with deliberately false characteristics or in incorrect categories, misleading other Users.
- To use the Platform for any activity that violates the legislation of the User's country of residence or international law.
- To post content that infringes copyrights, trademarks, and other intellectual property rights of third parties.
- To post pornographic, extremist materials, promoting violence, drugs.
- To use profanity, offensive statements, threats, or harassment in the Platform's built-in mail system.
- To use the Platform for sending spam, malicious software.
- To undertake any actions that may create an unreasonably large load on the Platform's infrastructure or disrupt its normal functioning, including the use of automated scripts for information collection, spamming via internal mail, or conducting cyberattacks.
- To make commercial use of Platform data, including collecting, copying, extracting, parsing product catalogs and requests, price information, and other data for purposes not directly related to using the Platform's functionality for the wholesale trade of green coffee.
- Any use of the Platform's API, automated scripts, or other means of interacting with the Platform's infrastructure is permitted only with the explicit written permission of the Administration.
- To undertake actions that may disrupt the operation of the Platform or its infrastructure.
6.4. Confidentiality. Users undertake to maintain the confidentiality of commercial and other information received during negotiations through the Platform. Disclosure of such information to third parties without the direct written consent of its owner is not permitted.
6.5. Information Disclosure. The Platform undertakes to maintain the confidentiality of User data, except when disclosure of information is required in accordance with applicable law, a court order, or at the request of authorized government agencies.

7. Disclaimer of Warranties and Limitation of Liability
7.1. Disclaimer of Warranties. The Platform and all its Services are provided on an "as is" and "as available" basis. The Platform does not guarantee uninterrupted operation of the Services and reserves the right to carry out planned and unplanned technical work, including with the suspension of access to the Platform, at any time and without prior notice to Users. The Platform reserves the right at any time to modify, suspend, or discontinue any aspect of the Services, including functionality and available features. The Platform expressly disclaims all warranties of any kind, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7.2. Limitation of Liability. In no event shall the Platform, its founders, directors, employees, or agents be liable to the User or any third party for any indirect, incidental, special, punitive damages or lost profits, regardless of the foreseeability of such damages by the Platform, arising from the User's access to the Platform, its use, or inability to use, even if the Platform has been advised of the possibility of such damages.

8. Indemnification
The User agrees to defend, indemnify, and hold harmless the Platform, its affiliates, officers, and employees from any claims, liabilities, damages, and expenses (including reasonable legal costs) arising out of: (a) the User's violation of these Terms; (b) the Content posted by the User; (c) the User's interaction with any other user.
The User acknowledges that violations of these Terms may cause irreparable harm to the Platform, and agrees that the Platform has the right to seek an injunction in addition to any other legal remedies.

9. No Partnership
Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between the User and the Platform.

10. Intellectual Property
10.1. User Rights. The User, by posting Content on the Platform, confirms that they have the necessary rights to it and retains all intellectual property rights to such Content.
10.2. License to the Platform. By posting Content on the Platform, the User grants M8 Market a non-exclusive, royalty-free, perpetual license to use this Content worldwide for the purpose of operating, promoting, and improving the Platform's Services (including, but not limited to, displaying, caching, reproducing, and adapting the Content).

11. Term and Termination
11.1. These Terms remain in effect until terminated by the User or the Platform. The User may terminate these Terms at any time by ceasing to use the Platform and deleting their Profile by contacting Support.
11.2. Termination by the Platform. The Platform reserves the right to suspend or terminate the User's access to the Platform in case of violation of these Rules. Before applying a block for remediable violations, the Platform may send the User a violation notice demanding its elimination within 3 (three) calendar days. In case of gross or repeated violations, the Platform may apply a block without prior notice.

12. Survival
The provisions of Sections 6 (Responsibilities and Limitations. Role of the Platform), 7 (Disclaimer of Warranties and Limitation of Liability), 8 (Indemnification), 10 (Intellectual Property), 14 (Governing Law and Jurisdiction) and 16 (Final Provisions) shall survive the termination of these Terms.

13. Changes to Terms and Notices
13.1. The Platform reserves the right to change these Terms at any time.
13.2. The new version of the Terms comes into force from the moment of its publication on this page.
13.3. Continued use of the Platform after the publication of new Terms means the User's full and unconditional agreement with them. It is recommended to periodically check this section for changes.
13.4. Notices. For the purposes of these Terms, publication of information on the Platform is sufficient notice from the Platform. All notices to M8 Market having legal significance must be sent to the email address: info@m8market.com.
Any notices sent by the Platform to the email address specified in the User's Profile are deemed properly delivered at the time of sending, unless the Platform receives a notice of delivery failure.

14. Governing Law and Jurisdiction
These Terms and all relations between the User and the Platform shall be governed by and construed in accordance with international law.

15. Force Majeure
15.1. Neither Party shall be liable for failure to perform or improper performance of obligations if it is caused by force majeure circumstances which the Party could neither foresee nor prevent by reasonable measures.
15.2. Such circumstances include, but are not limited to: natural disasters, fires, floods, earthquakes, wars, military operations, terrorist acts, actions of state authorities, pandemics, embargo, global disruptions in logistics chains, harvest delays, adverse weather conditions affecting product quality and quantity, quarantine restrictions, cyberattacks by third parties, as well as any other circumstances beyond the reasonable control of the Parties.
15.3. The Party affected by such circumstances must immediately notify the other Party and provide documentary confirmation from competent authorities.

16. Final Provisions
16.1. These Terms constitute the entire agreement between the Parties with respect to the subject matter hereof and supersede all prior oral and written agreements, statements and understandings between the Parties.
16.2. Severability. If any provision of these Terms is found to be invalid or unenforceable, this shall not affect the validity and enforceability of the remaining provisions, which shall remain in full force.
